1.01 This Customer Agreement (“Customer Agreement”) establishes the legally binding terms and conditions governing the relationship between Build Matcher LLC, a Florida limited liability company (“BuildMatcher,” “Company,” “we,” “us,” or “our”) and each homeowner, property owner, consumer, business entity, or other individual utilizing the BuildMatcher marketplace platform as a customer (“Customer,” “you,” or “your”). This Customer Agreement governs Customer access to marketplace functionality, including project submissions, contractor discovery, contractor contact requests, communications, reviews, and related digital services provided through the BuildMatcher technology platform (the “Platform”). By creating an account, submitting a project request, requesting contractor information, communicating through the Platform, or otherwise accessing Customer functionality, you acknowledge that you have reviewed, understood, and agreed to be legally bound by this Customer Agreement. This Customer Agreement supplements and incorporates the BuildMatcher Website Terms and Conditions and Privacy Policy, each of which forms an integral part of the contractual relationship between BuildMatcher and Customer.
1.02 BuildMatcher operates as a technology marketplace designed to facilitate connections between Customers seeking property-related services and independent contractors seeking potential business opportunities. BuildMatcher does not perform construction work, provide contracting services, manage projects, supervise contractors, inspect completed work, negotiate contracts on behalf of Customers, or guarantee the quality, legality, safety, pricing, availability, or completion of any contractor services. BuildMatcher does not select contractors on behalf of Customers and does not make hiring decisions for Customers. Customers retain sole responsibility for evaluating contractors, reviewing qualifications, confirming licensing requirements, obtaining estimates, negotiating agreements, and determining whether to engage any contractor.
1.03 Customer acknowledges and agrees that all contractors appearing through the Platform operate as independent third-party service providers and are not employees, agents, representatives, partners, joint venturers, or affiliates of BuildMatcher. Any agreement entered into between Customer and a contractor is solely between those parties and does not create any contractual relationship between Customer and BuildMatcher concerning the contractor’s services. BuildMatcher does not receive ownership, control, or supervisory authority over contractor businesses, employees, subcontractors, equipment, methods, materials, schedules, pricing, or service delivery. Customer assumes responsibility for conducting appropriate due diligence before selecting or hiring any contractor.
1.04 BuildMatcher may provide contractor profiles, trade categories, service area information, verification indicators, reviews, ratings, credentials, or other marketplace information intended to assist Customer evaluation. Such information is provided for informational and marketplace facilitation purposes only and does not constitute a warranty, certification, endorsement, recommendation, or guarantee by BuildMatcher. Customer understands that verification processes are designed to improve marketplace transparency but do not eliminate the need for independent investigation and professional judgment. BuildMatcher does not guarantee that any contractor information is complete, current, accurate, or sufficient for Customer’s particular project requirements.
2.01 Customers may be required to create an account and provide certain information necessary to access Platform features, including name, contact information, property information, project details, communication preferences, and other information reasonably requested by BuildMatcher. Customer represents and warrants that all information submitted through the Platform is accurate, complete, and provided in good faith. Customer shall promptly update information when changes occur that may affect communications, project requests, contractor interactions, or account functionality. BuildMatcher may restrict access or request additional information when reasonably necessary to protect Platform security, prevent fraud, or maintain marketplace integrity.
2.02 Customer shall maintain responsibility for all activity conducted through the Customer account and shall protect account credentials from unauthorized access or disclosure. Customer shall not permit another person to access the account for improper purposes or create accounts using inaccurate, misleading, or fraudulent information. Customer shall immediately notify BuildMatcher of suspected unauthorized access, account compromise, or misuse. BuildMatcher shall not be responsible for losses arising from Customer’s failure to maintain appropriate account security practices.
3.01 Customer may utilize the Platform to submit information regarding potential projects, including descriptions of requested services, property information, desired timelines, service categories, location information, photographs, and other relevant details necessary to facilitate contractor discovery. Customer acknowledges that the accuracy and completeness of project information directly impacts the effectiveness of marketplace matching and contractor communications. Customer shall provide truthful, current, and reasonably detailed information regarding the requested project. Customer shall not submit false, misleading, fraudulent, or intentionally incomplete project information designed to obtain improper marketplace benefits or mislead contractors.
3.02 Customer understands that project submissions do not constitute a guarantee that contractors will respond, provide estimates, accept the project, or enter into a service agreement. BuildMatcher does not promise that Customer will receive any specific number of contractor responses or that any contractor will be available to perform requested services. Marketplace availability depends upon contractor participation, geographic service areas, trade categories, scheduling availability, and other factors outside BuildMatcher’s control. Customer remains responsible for independently determining whether any contractor is appropriate for the requested project.
3.03 Customer shall ensure that all information provided through the Platform, including contact information, project details, property information, and communications, is accurate and does not violate any applicable law or third-party rights. Customer acknowledges that contractors rely upon submitted information when evaluating potential opportunities and determining whether to communicate with Customer. Misrepresentations regarding project scope, property conditions, ownership interests, budget, urgency, or other material facts may negatively affect marketplace operations and contractor relationships. BuildMatcher reserves the right to restrict accounts associated with inaccurate, deceptive, or abusive project submissions.
3.04 Customer acknowledges that construction, repair, renovation, maintenance, and related services often require additional inspection, evaluation, measurements, permits, approvals, and professional judgment before final pricing or scope determination. Information submitted through the Platform is intended only as an initial marketplace communication tool and does not replace professional consultation, site inspections, written agreements, or contractor evaluations. BuildMatcher does not verify Customer project descriptions or guarantee that submitted information accurately reflects actual property conditions. Contractors remain solely responsible for evaluating projects before entering into any service agreement.
4.01 Customer may request access to contractor contact information through available Platform functionality. Depending on marketplace availability and Platform configuration, Customer may request contact information for up to three contractors associated with a project request. Customer understands that requesting contractor information is intended to facilitate direct communication between Customer and contractors. BuildMatcher does not guarantee that contractors will respond, schedule consultations, provide estimates, or accept the requested project. Customer is solely responsible for initiating communications, evaluating responses, and determining whether to proceed with any contractor.
4.02 Upon receiving contractor contact information through the Platform, Customer may communicate directly with the contractor regarding project scope, pricing, scheduling, qualifications, and potential engagement. Any representations, agreements, proposals, invoices, warranties, or obligations created after such communication are solely between Customer and the contractor. BuildMatcher is not a party to any contractor agreement and does not assume responsibility for disputes arising from contractor services. Customer agrees that BuildMatcher’s role ends at facilitating the marketplace connection unless additional Platform services are expressly provided.
5.01 Customer acknowledges that selecting a contractor is a significant decision involving financial, property, safety, and performance considerations. Customer agrees to independently evaluate contractor qualifications, licenses, insurance coverage, references, experience, pricing, contracts, warranties, permits, and applicable regulatory requirements before hiring any contractor. BuildMatcher encourages Customers to obtain written agreements and verify all material terms before authorizing work. Customer assumes all responsibility for contractor selection and engagement decisions.
5.02 BuildMatcher does not guarantee, warrant, or represent that any contractor will perform satisfactory work, comply with applicable laws, complete projects on schedule, charge reasonable prices, maintain insurance, possess required qualifications, or satisfy Customer expectations. BuildMatcher shall not be responsible for defective workmanship, delays, property damage, disputes, payment issues, contractor misconduct, abandonment of projects, or any other issue arising from contractor services. Any complaint concerning contractor performance must be addressed directly between Customer and the contractor. Customer acknowledges that BuildMatcher is not a construction dispute resolution provider or contractor guarantor.
6.01 Customer acknowledges that BuildMatcher provides a digital marketplace connection service and that the submission of a project request or request for contractor contact information does not create an obligation to hire any contractor or proceed with any project. Customer may discontinue participation in the marketplace process at any time by ceasing communications, withdrawing a project request where functionality permits, or otherwise choosing not to proceed with contractor engagement. Customer understands that once contractor contact information has been requested and provided, BuildMatcher has performed the applicable marketplace facilitation service associated with that request. Customer shall not engage in conduct intended to manipulate cancellation procedures, avoid marketplace obligations, or misuse Platform functionality.
6.02 If Customer decides not to proceed with a project, Customer may update the project status, decline contractor communications, or notify contractors directly that the project is no longer active. Customer acknowledges that contractors may have invested time, resources, or business effort responding to Customer inquiries or evaluating project opportunities. BuildMatcher does not control contractor availability, response times, communications, pricing decisions, or business practices following a marketplace connection. Customer agrees to communicate professionally and in good faith with contractors participating through the Platform.
6.03 Customer Complaints and Reporting. BuildMatcher encourages Customers to promptly communicate concerns relating to Platform functionality, contractor interactions, inaccurate marketplace information, suspected fraudulent activity, or violations of applicable Platform policies. Customers may submit complaints through available BuildMatcher communication channels, including designated customer support mechanisms or electronic communication methods established by BuildMatcher. Customer complaints should include sufficient factual information, supporting documentation, dates, communications, and other relevant details necessary for BuildMatcher to evaluate the reported issue. Submission of a complaint does not create any obligation for BuildMatcher to investigate, resolve, mediate, arbitrate, or assume responsibility for any dispute, claim, or contractual obligation between Customer and any contractor.
6.04 Informal Dispute Mediation Assistance. As an optional marketplace support service, BuildMatcher may provide free, informal dispute mediation assistance between Customers and matched contractors for the purpose of facilitating communication, encouraging resolution, and promoting positive marketplace experiences. Any such mediation assistance is provided solely as a discretionary customer service function and does not constitute arbitration, a legal determination, professional advice, construction dispute resolution services, an inspection, an evaluation of contractor performance, or a determination of fault, liability, damages, or contractual rights. BuildMatcher is not a party to any agreement, contract, transaction, or relationship between a Customer and contractor and has no authority to modify, enforce, cancel, or interpret any agreement between those parties.
Participation in any BuildMatcher mediation assistance process is voluntary, and BuildMatcher does not guarantee any resolution, settlement, refund, repair, payment, performance, or other outcome. Customers and contractors remain solely responsible for resolving any contractual or legal disputes directly with one another and for pursuing any available legal remedies. BuildMatcher may discontinue, limit, or refuse mediation assistance at any time and in its sole discretion.
6.05 Contractor Cooperation and Marketplace Integrity. Contractors participating in BuildMatcher’s marketplace acknowledge that cooperation with reasonable dispute communications, requests for information, and good-faith participation in BuildMatcher’s informal mediation process may be considered in connection with maintaining marketplace integrity. BuildMatcher reserves the right, in its sole discretion, to restrict, suspend, or terminate a contractor’s access to the Platform for failure to reasonably cooperate with dispute communications, violation of Platform policies, suspected misconduct, or conduct that may negatively impact Customers, contractors, or the integrity of the marketplace.
6.06 Limitation of BuildMatcher’s Role. Any complaint review, mediation assistance, communication between parties, or administrative action undertaken by BuildMatcher is limited solely to marketplace administration purposes. BuildMatcher does not warrant or guarantee the quality, legality, safety, timeliness, completion, or outcome of any contractor services and shall not be responsible for any acts, omissions, representations, warranties, agreements, payments, damages, disputes, or obligations arising between Customers and contractors.
7.01 Customer may have the opportunity to provide reviews, ratings, comments, or feedback regarding marketplace experiences, contractor communications, or project outcomes. Customer agrees that all reviews and feedback submitted through the Platform shall be based on genuine experiences and shall accurately reflect Customer’s personal knowledge and interactions. Customer shall not submit false reviews, manipulated ratings, fabricated complaints, retaliatory content, confidential information, discriminatory statements, threats, or content intended to unlawfully damage another party’s reputation. BuildMatcher may rely upon customer feedback to improve marketplace functionality, monitor user experiences, and maintain platform quality standards. Only a customer connected to a completed BuildMatcher Job may leave a review.
7.02 BuildMatcher may moderate reviews and marketplace feedback through administrative review procedures, automated technology tools, or other reasonable processes designed to maintain accuracy and integrity. BuildMatcher reserves the right to remove, restrict, modify visibility, decline publication, or preserve reviews when reasonably necessary to comply with law, enforce Platform policies, protect users, or prevent misuse. BuildMatcher does not guarantee that all reviews represent verified outcomes or that every review reflects objective truth. Customer understands that reviews are individual user opinions and do not constitute representations or warranties by BuildMatcher.
7.03 BuildMatcher may request that Customers provide information regarding the status or outcome of contractor connections, including whether a contractor was contacted, whether an estimate was obtained, whether a contractor was hired, whether the project was abandoned, or whether no contractor was selected. Such outcome information may be used for marketplace analytics, contractor account administration, lead quality evaluation, platform improvement, and operational decision-making. Customer agrees to provide reasonably accurate outcome information when requested by BuildMatcher. Customer acknowledges that outcome reporting supports marketplace transparency and assists BuildMatcher in maintaining a reliable technology ecosystem.
7.04 Customer understands that a contractor connection does not require Customer to hire any contractor and does not create an obligation to complete a project. A project may conclude without hiring any contractor due to pricing, scheduling, project cancellation, changed circumstances, personal decisions, or other reasons outside BuildMatcher’s control. BuildMatcher does not guarantee that every contractor connection will result in a completed transaction or successful hiring outcome. Customer’s decision not to proceed with a contractor shall not constitute a failure of Platform services or a breach of this Customer Agreement.
8.01 Customer expressly acknowledges that BuildMatcher is not a contractor, construction company, service provider, project manager, inspector, licensing authority, insurer, or guarantor of contractor performance. BuildMatcher does not perform work, supervise contractors, approve construction methods, inspect projects, guarantee compliance with building codes, or verify the quality of services performed by contractors. Any information displayed regarding contractors is provided solely as marketplace assistance and does not establish any warranty, endorsement, recommendation, or guarantee. Customer assumes all risks associated with selecting, hiring, communicating with, and contracting with independent contractors.
8.02 TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDMATCHER DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS REGARDING CONTRACTOR SERVICES, INCLUDING WARRANTIES RELATING TO QUALITY, COMPLETION, TIMELINESS, SAFETY, LICENSING, INSURANCE, PRICING, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR PROJECT RESULTS. BUILDMATCHER DOES NOT GUARANTEE THAT CUSTOMERS WILL RECEIVE RESPONSES FROM CONTRACTORS, OBTAIN ACCEPTABLE ESTIMATES, HIRE A CONTRACTOR, COMPLETE A PROJECT, OR ACHIEVE ANY SPECIFIC RESULT THROUGH THE PLATFORM. CUSTOMER ACKNOWLEDGES THAT THE PLATFORM IS PROVIDED AS A TECHNOLOGY MARKETPLACE SERVICE AND NOT AS A SUBSTITUTE FOR INDEPENDENT CONTRACTOR EVALUATION.
8.03 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDMATCHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO CUSTOMER USE OF THE PLATFORM, INCLUDING DAMAGES RELATING TO CONTRACTOR SERVICES, PROPERTY DAMAGE, PERSONAL INJURY, PROJECT DELAYS, FINANCIAL LOSS, FAILED TRANSACTIONS, COMMUNICATIONS, OR RELIANCE UPON PLATFORM INFORMATION. THIS LIMITATION APPLIES REGARDLESS OF WHETHER SUCH CLAIM IS BASED UPON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY. CUSTOMER ACKNOWLEDGES THAT THESE LIMITATIONS REFLECT THE TECHNOLOGY MARKETPLACE NATURE OF BUILDMATCHER’S SERVICES.
8.04 TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDMATCHER’S TOTAL LIABILITY ARISING FROM OR RELATING TO THIS CUSTOMER AGREEMENT, THE PLATFORM, OR CUSTOMER USE OF MARKETPLACE SERVICES SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY CUSTOMER TO BUILDMATCHER DURING THE TWELVE-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. Customer acknowledges that BuildMatcher would not provide marketplace services under the same terms without this limitation of liability. These limitations shall apply regardless of the form of action asserted and shall survive termination of this Customer Agreement.
9.01 Customer agrees to defend, indemnify, and hold harmless BuildMatcher, its owners, officers, directors, employees, contractors, affiliates, technology providers, successors, and assigns from and against any claims, demands, damages, liabilities, losses, expenses, judgments, penalties, and reasonable attorneys’ fees arising out of or relating to Customer’s use of the Platform, violation of this Customer Agreement, misuse of marketplace functionality, User Content, communications with contractors, disputes with contractors, or inaccurate information submitted through the Platform. BuildMatcher reserves the right to participate in the defense of any matter subject to indemnification and may require Customer cooperation in responding to claims. Customer shall not settle any indemnified matter imposing obligations upon BuildMatcher without prior written approval.
